LiteHaus International Ltd is a company limited by guarantee and public benevolent institution (PBI) operating under the Corporations Act 2001 and reporting to the Australian Securities & Investments Commission (ASIC). Our charitable purpose and not-for-profit status are enshrined in our Constitution and recognised by Australian Charities & Not-for-profits Commission (ACNC) which we report to annually. We hold DGR-1 status with Australian Taxation Office (ATO).
The Australian Council for International Development (ACFID) is the peak Council for Australian not-for-profit aid and development organisations. LiteHaus International is a signatory to the ACFID Code of Conduct, which is a voluntary, self - regulatory sector code of good practice. As a signatory we are committed and fully adhere to the ACFID Code of Conduct, conducting our work with transparency, accountability and integrity. We are currently ACFID Interim Full Members and anticipate becoming Full Members in October 2023.
Our company is governed by a Board of Directors who hold ultimate responsibility and authority. Our Board of Directors is currently chaired by Dr Nathan Groenhout and includes five volunteer non-executive directors and the Chief Executive Officer, Jack Growden. The Board of Directors sets strategy, monitors performance, ensures financial solvency, and manages risk. The Chief Executive Officer and staff implement our strategy and deliver our day-to-day operations.
The Board of Directors has also commissioned two sub-committees, a Policy & Risk Committee and an Audit & Finance Committee, each acting from Terms of Reference developed by the Board of Directors.
We are privileged to have Deloitte as our global professional services partner. Deloitte provides audit, consulting, financial advisory, risk advisory, tax, and legal services with approximately 415,000 professionals globally. In addition to assisting us with governance challenges such as subsidiary company registrations, Deloitte have also supported us through the donation of hundreds of devices across Australia and Papua New Guinea as well as a corporate partnership. Our relationship with Deloitte began in 2021 when our Founder & CEO, Jack Growden, won the One Young World Lead 2030 Challenge for Sustainable Development Goal 4, which Deloitte sponsored. More than 30,000 people have benefitted from our collaboration with Deloitte.
Since 2021, Clayton Utz have acted as our pro-bono legal partner. Clayton Utz are a leading Australian law firm with an award-winning pro-bono practice regarded as being one of the ‘Big Six’ Australian firms. To date, Clayton Utz have assisted us with drafting and reviewing contracts, drafting governing documents, maintaining compliance with workplace and human resources legislation, and general advice on all range of matters. Our enduring relationship with Clayton Utz strengthens the robustness of our governance, risk management and policy frameworks.
Each year, LiteHaus International produces an annual report which is filed with the Australian Charities & Not-for-profits Commission (ACNC) and disseminated to our donors and supporters.
